MASTER TERMS & CONDITIONS & END-USER LICENSE AGREEMENT – For Practical AI Programs to Increase Employability for University Students

MASTER TERMS & CONDITIONS & END-USER LICENSE AGREEMENT – For Practical AI Programs: Certified Practical AI Associate™ (PAIA™) & Certified Practical AI Career Accelerator™ (PAICA™)

Governing Law: Hong Kong Special Administrative Region (HKSAR)

SECTION 1: TARGET SCOPE & ELIGIBILITY BOUNDARIES

1.1 Eligible Demographics: These Terms & Conditions govern the contractual relationship between PTI Professional Development Limited (“the Company”) and individual student applicants who are currently enrolled Undergraduate or Master’s Degree students, or recent graduates within three (3) years of graduation from a recognized tertiary academic institution (collectively, “the Participant”).
1.2 Accelerated Launchpad Status: The PAIA and PAICA frameworks are professional development courses engineered to equip the Participant with practical artificial intelligence execution literacy, fundamental project portfolios, and digital job-hunting tools. The Participant explicitly acknowledges that these programs do not award formal university degrees, local public academic qualifications, or higher education diplomas. They serve as an accelerated career launchpad and do not replace multi-year corporate tenure or traditional academic credentials.

SECTION 2: TUITION FEES, FINANCING MATRICES, AND THE SURPLUS SURPLUS PRINCIPLE

2.1 Binding Settlement: The Participant agrees to settle the non-refundable net Program Tuition Fee corresponding to their designated selection upon initial registration.
2.2 Strict Non-Refundability: Upon payment processing, the Company immediately provisions proprietary digital intellectual assets, cloud-based learning management system (LMS) keys, and curriculum modules. Consequently, all fees are strictly non-refundable, non-transferable, and non-exchangeable, either in whole or in part, under any circumstances.
2.3 Tuition Fee Separability: Payment of the tuition fee covers immediate provision of educational content only. This commercial transaction is completely independent of, separate from, and not contingent upon any downstream government stipend disbursements or corporate internship pathway allocations.
2.4 Projected Allowance Mechanics: Any figures displayed in marketing assets referencing a ‘Fully Covered’ or ‘Surplus Profit’ status are illustrative mathematical projections based on the assumption that a Participant successfully secures the maximum eligible HKSAR Government Innovation and Technology Commission (ITC) STEM Internship Scheme allowance. The Company does not guarantee, distribute, or pay out these public stipends directly.

SECTION 3: THE TWO EXCLUSIVE PATHWAYS & LABOR EXCLUSION

3.1 Dual-Track Framework: The practical training and portfolio-building components of the program are limited strictly to two potential tracks: (1) The ITC STEM Internship Track (Pathway A), or (2) The AI Capstone Project Track (Pathway B). No external corporate practicums, apprenticeships, or off-site corporate physical work placements are provided or executed under this Program.
3.2 Pathway A Vetting and Non-Guarantee: Admission into the 59-day ITC STEM Internship Track is a competitive selection process and is not guaranteed by tuition payment. Placement is strictly subject to the Participant passing the Company’s internal Human Resources (HR) Suitability Assessment, securing formal local university endorsement, and satisfying the active statutory quotas and eligibility criteria enforced by the HKSAR Government’s ITC STEM Internship Scheme.
3.3 Pathway B Asynchronous Simulation Status: If a Participant is evaluated as unsuitable for Pathway A, is rejected for local university vetting, or if government funding quotas are exhausted, they will be automatically and instantly routed to Pathway B (AI Capstone Project Track).
3.4 Minimum Wage Ordinance (Cap. 608) Exclusion: Pathway B is a 30-hour remote, self-paced simulation and portfolio-building course extension hosted entirely on the Company’s digital LMS. It involves zero commercial business operations, zero administrative tasks, and zero revenue-generating labor for the Company or its partners. The Participant explicitly agrees that Pathway B does not constitute an employer-employee or master-servant relationship under Hong Kong law, and carries absolutely no legal entitlement to stipends, back-pay, or hourly wages under the Minimum Wage Ordinance (Cap. 608).

SECTION 4: URGENCY CHECKS & REFERENCE LETTER RULES

4.1 Chronological Payment Timestamp: The highly coveted, personalized Executive Reference Letter is strictly limited to the first fifty (50) students who successfully clear full tuition payment. Eligibility is determined automatically based on the definitive backend server transaction timestamp of completed fund clearance.
4.2 Standard Fallback Rule: Participants enrolled from the 51st position onwards, or those who fail to meet the required timeline deadlines, will automatically receive an automated, Standard Reference Letter upon satisfactory completion of all course modules, portfolio metrics, and project criteria.

4.3 Reference Letter Eligibility Timestamp: The issuance of a Personalised Executive Reference Letter is strictly limited to the first fifty (50) Participants who complete the full payment and enrollment process. Eligibility will be calculated automatically based on the Company’s system database timestamp of completed financial transactions. Participants enrolled from the 51st position onwards explicitly acknowledge that they will receive an automated, Standard Reference Letter upon satisfactory completion of all course modules and milestones.
4.4 Chronological Queue Allocation: Candidate vetting, profiling, and corporate matching slots for Pathway A (ITC STEM Internship Track) are provisioned strictly on a first-paid, first-processed sequence. The Company explicitly handles vacancy distributions based on the chronological order of tuition settlement to grant an organizational queue advantage to early applicants. Chronological prioritization does not waive independent corporate suitability reviews, university endorsement mandates, or available government quota thresholds.

SECTION 5: CREDENTIAL LIFECYCLE & VALUE-ADDED RENEWAL FEES

5.1 Initial Licensed Tenure: Upon satisfying the core academic requirements, project deliverables, and portfolio assessments of the program, the Participant will be granted the professional designations ‘Certified Practical AI Associate (PAIA™)’ and/or ‘Certified Practical AI Career Accelerator (PAICA™)’ issued in conjunction with the International Professional Managers Association (IPMA), United Kingdom.
5.2 Twelve-Month Display Limitation: The legal authorization to display, list, or print these post-nominal designations on curriculum vitaes (CVs), professional profiles (e.g., LinkedIn), or business name cards is restricted to a period of exactly twelve (12) calendar months from the date of issuance.
5.3 Registry Maintenance Framework: Continued maintenance of active registry standing and authorization to showcase the credentials beyond the initial year requires the Participant to pay the then-current prevailing annual renewal assessment fee, as updated periodically by the registry to reflect administrative and market shifts. Continuous presentation of the designations following registry expiration without active renewal voids the digital verification code.
5.4 Continuous Member Benefits: Active registry holders in good standing will continuously receive premium professional assets, consisting of exclusive IPMA International Newsletters detailing global leadership and priority PTI Career Updates.

SECTION 6: ACADEMIC ADMINISTRATION & GRADING

6.1 Automated and Peer-to-Peer Evaluation Metrics: To maintain systemic scalability, cohort progression, and objective testing, the evaluation of all milestone deliverables, codebase scripts, project prototypes, and compliance decks is processed through a structured rubric consisting of automated algorithmic evaluation engines and platform peer-review frameworks. Individual, manual, 1-on-1 portfolio auditing by senior executive instructors is not factored into the standard program fee structure and remains subject to separate premium consultation agreements.

6.2 Program Milestones and Structural Access Control: Progression through the sequential modules of Levels 1, 2, and 3 requires the timely submission of corresponding digital project checkpoints. The Academic Board enforces a strict “Hard Portal Lock” policy. Failure to upload a designated milestone deliverable within its scheduled cohort deadline results in the automated locking of downstream certification access, standard reference letter generation, and future evaluation pipelines. Re-activation of a locked portal remains at the absolute discretion of the Company and may be subject to administrative administrative processing fees.

SECTION 7: INTELLECTUAL PROPERTY & UNIVERSAL ASSIGNMENT OF AI OUTPUTS

7.1 Company Materials IP: All operational methodologies, prompt engineering templates, AI workflow blueprints, master prompts, and software tools provided during the program (collectively, ‘Company Materials’) remain the strict, exclusive intellectual property of the Company and its licensors. Materials are licensed strictly for personal, non-commercial career-development use and cannot be resold or redistributed under the Copyright Ordinance (Cap. 528).
7.2 Recognition of Human Authorship: The Participant explicitly acknowledges that Company Materials represent substantial human authorship and banking domain expertise curated by the Company. Notwithstanding that generative AI tools may have been utilized as an auxiliary aid in optimization, the final curated strings constitute proprietary trade secrets of the Company.
7.3 Universal Assignment of Outputs: The Participant explicitly agrees that all inputs, modified prompts, derivative prompt structures, and resulting AI-generated outputs created during or as a direct result of this Program—whether generated using the Company’s corporate enterprise AI accounts or the Participant’s personal accounts—shall be assigned to the Company immediately upon creation without the need for further consideration.

7.4 Provision and Scope of Proprietary Career Toolkits: The “AI / Big Data Career Toolkit” (incorporating the AI & Big Data Resume Guides, Elite Interview Guides, and The Master Career Guide) is provisioned exclusively as a digital, non-downloadable, read-only asset hosted within the active Student Portal. Access is granted as a conditional personal license limited strictly to the duration of the student’s active enrollment. The redistribution, corporate copying, digital sharing, or extraction of prompt strings or text frameworks from these guides to non-enrolled individuals constitutes a material breach of this Agreement and immediate revocation of portal access without tuition remedies.

7.5 Limited License Back: The Company hereby grants the individual Participant a limited, non-exclusive, non-transferable, royalty-free, perpetual license to personally utilize the specific modified prompts they individually authored during the Program for their own personal, day-to-day individual productivity tasks at their future employing financial institution, subject to strict prohibitions against corporate network distribution or systemic enterprise automation without an institutional license.

SECTION 8: RECOVERY OF RECKLESS BREACH & DISPUTE RESOLUTION

8.1 Disclaimers on Banking Compliance: While general global AI governance principles or international statutory frameworks (including but not limited to the EU AI Act, GDPR, or MAS FEAT Principles) may be referenced for context, the training does not constitute regulatory compliance auditing. It remains the sole responsibility of the Participant to ensure downstream strategies comply with specific local banking regulations.

8.2 Breach Remedies: Any unauthorized commercial exploitation, manual re-typing, copying, or public dissemination of Company Materials or prompts by the Participant results in immediate, permanent program termination, forfeiture of all professional designations, and immediate revocation of certificate credentials.

8.3 Investigative Fee Recovery: In the event of a willful intellectual property infringement or data leak, the Company reserves the absolute right to recover all actual commercial losses, diagnostic software investigative expenses, and reasonable attorneys’ fees incurred during enforcement.

8.4 Exclusive Jurisdictional Arbitration: These Terms & Conditions shall be governed by and construed in accordance with the substantive laws of the Hong Kong Special Administrative Region (HKSAR). Any dispute, controversy, or claim arising out of or relating to this contract shall be referred to and finally resolved by confidential arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong, and the language shall be English.
